VII. RETURNS, REFUNDS & CANCELLATIONS
A. All Sales Final
All template purchases made through this Website are final. Due to the digital nature of our products and immediate access upon purchase, we do not offer refunds, returns, or exchanges. By completing a purchase, you acknowledge and agree to this policy.
B. Exceptions
We may, in our sole discretion, make exceptions in the event of (i) a verified duplicate purchase; or (ii) a confirmed technical error that prevented proper access to the purchased file. Such exceptions are rare and must be requested within seven (7) days of the purchase date by contacting us at support@clause-codex.com. Supporting documentation may be required. If you do not receive your purchased product within a reasonable time after payment, please contact us promptly. Access issues caused by outdated software, incompatible devices, third-party system errors, or user-side misconfiguration do not qualify for refund or exchange.
C. Cancellations
Because access to purchased content is granted immediately, orders cannot be canceled once placed.
D. Responsibility for Purchase Decisions
It is your responsibility to review product descriptions, compatibility notes, and sample previews (if provided) before completing a purchase. If you are unsure whether a template fits your intended use case, you are encouraged to contact us in advance of purchase.
E. Taxes

IX. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by, and shall be construed in accordance with, the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. To the extent permitted by law, any claim, dispute, or controversy arising out of or relating to these Terms, the Website, or any content or transaction therein shall be submitted to confidential, binding arbitration in Henrico County, Virginia, pursuant to the rules of the American Arbitration Association (“AAA”) then in effect. The arbitration shall be conducted before a single arbitrator experienced in commercial and digital business matters. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
You and Clause Codex expressly waive any right to a jury trial or to participate in a class action, class arbitration, or representative proceeding. Arbitration will proceed on an individual basis only. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Henrico County, Virginia, to prevent the actual or threatened misuse of confidential information or intellectual property. If any portion of this Section is deemed unenforceable, the remaining provisions shall remain in full force and effect.
X. MISCELLANEOUS
A. Modifications
We reserve the right to modify, amend, or replace these Terms at any time, at our sole discretion. Updated versions will be posted on this Website with a revised “Effective Date.” Continued use of the Website following such changes constitutes your acceptance of the modified Terms.
B. No Agency or Partnership
Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and us. You do not have authority to bind us or incur obligations on our behalf without our express written consent.
C. Force Majeure

I. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us relating to the Website and Services and supersede all prior and contemporaneous communications and proposals, whether oral, written, or electronic.
J. Export Compliance
You agree to comply with all applicable U.S. and international export laws and regulations that apply to the materials and Services provided through this Website.
